Terms of Service

These Terms of Service ("Terms") govern the purchase and use of Kasper Automation's services. By engaging us, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

1) Definitions

Client / you
The person or entity purchasing services.
Services
Automation consulting, implementation, and maintenance services, including n8n workflows, integrations, and related documentation.
Deliverables
Workflows, configuration, documentation, diagrams, runbooks, and agreed outputs provided as part of the Services.
Client Systems
The client's tools and systems connected to automations (e.g., CRM, email, project tools).
Managed Hosting
Where Kasper hosts and operates the automation runtime (if offered).
Client-hosted
Where the client hosts the automation runtime in its own environment.
Confidential Information
Non-public information disclosed by either party in connection with the Services.

2) Scope of services

We provide services such as:

  • Discovery and requirements gathering
  • Workflow design and implementation
  • Integration setup between systems
  • Testing and deployment
  • Error handling, alerting, and runbooks
  • Documentation and handover
  • Ongoing support and maintenance (if purchased)

Exact scope will be set out in a written proposal, statement of work, or agreed plan.

3) Engagement types

3.1 Project work

Fixed-scope or defined deliverables delivered within an agreed timeframe and price.

3.2 Retainer / maintenance

Ongoing support for monitoring, fixes, improvements, and small changes, delivered within agreed monthly hours or service levels.

4) Client responsibilities

You agree to:

  • Provide timely access to required systems, accounts, and information
  • Ensure you have rights to share any data you provide
  • Maintain appropriate permissions and security on Client Systems
  • Review and approve workflow requirements and outputs
  • Perform any client-side tasks you agree to (e.g., creating service accounts, providing API access, configuring webhooks)

If delays occur due to missing access or information, timelines may shift.

5) Hosting models

5.1 Client-hosted

If Client-hosted is used:

  • You operate the hosting environment
  • You are responsible for platform uptime, backups, and infrastructure security unless otherwise agreed
  • We provide workflows and configuration and may support troubleshooting within agreed scope

5.2 Managed Hosting (if offered)

If Managed Hosting is used:

  • We operate the automation runtime and agreed supporting components
  • We define monitoring and alerting approach with you
  • Access, retention, and responsibilities will be documented for your project
  • Our Subprocessors list applies (see /subprocessors.html)

6) Change requests

Automation work often evolves as requirements become clearer.

Changes outside the agreed scope may require a revised estimate, timeline, or additional fees.

We will communicate changes before proceeding.

7) Fees and payment

Fees are as agreed in the proposal, invoice, or statement of work.

Payment terms: Projects: 100% upfront. Retainers: billed monthly in advance. Work begins once payment is received.

Late payments may pause work until accounts are up to date.

Taxes (including VAT) will be applied where applicable.

8) Intellectual property

8.1 Client materials

You retain ownership of your pre-existing materials, systems, and data.

8.2 Deliverables ownership

Upon full payment, you own the Deliverables created specifically for you (including workflows and documentation), excluding any pre-existing tools, templates, or libraries we use.

8.3 Pre-existing tools and know-how

We retain ownership of our pre-existing templates, methods, reusable components, and general know-how. We grant you a license to use any such components included in the Deliverables as needed to use the Deliverables.

9) Confidentiality

Each party agrees to protect the other's Confidential Information and use it only to fulfil obligations under these Terms. This obligation does not apply to information that is public, independently developed, or lawfully obtained from a third party.

10) Data protection

Where we process personal data for you as a processor, the processing is governed by our DPA.

11) Security and access

You are responsible for securing your Client Systems and controlling who can access them.

We will use reasonable measures to protect access credentials and follow least-privilege principles where feasible.

You agree not to share credentials in insecure ways and to use secure channels for access provisioning.

12) Warranties and disclaimers

We will provide the Services with reasonable skill and care.

Automations depend on third-party systems and APIs; we do not warrant uninterrupted operation or that third-party services will remain available or unchanged.

You are responsible for reviewing workflows before enabling them in production and for monitoring outputs where appropriate.

Except as expressly stated, Services are provided "as is" to the fullest extent permitted by law.

13) Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
  • Our total liability for claims relating to the Services will not exceed the total fees paid by you to us in the [12] months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

14) Suspension and termination

14.1 Termination for convenience

Either party may terminate ongoing services (such as a retainer) with notice of 14 days.

14.2 Termination for cause

Either party may terminate immediately if the other materially breaches these Terms and fails to remedy within a reasonable period after notice.

14.3 Effect of termination

Upon termination:

  • You remain responsible for fees incurred up to termination
  • We will provide handover of Deliverables created and paid for
  • Access granted to us should be revoked by you
  • Data deletion/return will be handled in line with the DPA where applicable

15) Support and maintenance (if purchased)

Support terms (hours, response times, scope, on-call) will be defined in your retainer agreement or statement of work.

Unless explicitly agreed, support does not include:

  • 24/7 monitoring or on-call
  • Emergency incident response outside normal hours
  • Changes caused by third-party platform outages or API breaking changes
  • Major new features outside agreed scope

16) Communications

We may communicate with you via email and agreed channels. You agree to maintain up-to-date contact details for billing, technical, and security communications.

17) Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales will have exclusive jurisdiction, except where prohibited by law.

18) Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date above. Changes will not apply retroactively to existing statements of work unless agreed.
